Terms of Use
These Terms govern your use of manuslabs.app and all applications published by Manus Labs LLC, including GrowTide and any future products. Application-specific terms may apply in addition to these.
1. Scope and acceptance.
These Terms of Use ("Terms") apply to (a) the website at manuslabs.app and any subdomains we operate (the "Site"), and (b) all web, mobile, and desktop applications we publish (the "Apps"), including GrowTide and any future products.
By accessing or using the Site or any App, you agree to these Terms. If you do not agree, do not use the Site or the App.
Individual Apps may have supplementary terms, which supplement these Terms for that App. Where an App-specific term addresses a topic, it governs for that App.
2. About us.
Manus Labs LLC is a limited liability company organized in the State of Utah, United States. Contact: dev@manuslabs.app.
3. License to use the Site.
We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial purposes.
You may not: (a) copy, modify, or redistribute Site Content except for brief excerpts with attribution; (b) scrape, crawl, or interfere with the Site; (c) attempt to probe, compromise, or disable any part of the Site; or (d) use the Site in violation of applicable law.
4. Apps.
Your use of any App is additionally governed by that App's specific terms, which may be delivered within the App, on its website, or through the distributing app store. Where App-specific terms address a topic, they govern for that App. Nothing in these Terms grants you a license to any App beyond what is granted by the applicable App-specific terms and app-store license.
5. Intellectual property.
All content on the Site — text, images, design, code, and branding ("Site Content") — is owned by Manus Labs LLC or used with permission and is protected by intellectual-property laws. The names Manus Labs and GrowTide, our logos, and our visual identity are trademarks of Manus Labs LLC. You may not use our trademarks without our prior written consent, except for factual reference.
6. Feedback.
If you submit feedback, suggestions, or ideas to us, you grant Manus Labs LLC a perpetual, worldwide, non-exclusive, royalty-free, sublicensable license to use that material for any lawful purpose, including to improve our products, without obligation or compensation to you. Please do not send us material that is confidential or subject to a non-disclosure obligation.
7. Disclaimer of warranties.
THE SITE AND THE APPS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE OR ANY APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
8. Limitation of liability.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MANUS LABS LLC AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES — INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE OR ANY APP, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, AND REGARDLESS OF WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID MANUS LABS LLC FOR THE APPLICABLE PRODUCT IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
Nothing in these Terms limits liability that cannot be excluded or limited under applicable law.
9. Indemnification.
You agree to defend, indemnify, and hold harmless Manus Labs LLC and its owners and partners from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of (a) your breach of these Terms, (b) your violation of any law or third-party right, or (c) your misuse of the Site or any App.
10. Termination.
We may suspend or terminate your access to the Site or any App at our discretion. On termination, your right to use the affected Site or App ends immediately. Provisions that by their nature should survive termination will survive, including sections 5 through 9 and 11.
11. Governing law and disputes.
These Terms are governed by the laws of the State of Utah, United States, without regard to its conflict-of-law rules. You agree that any dispute arising out of or related to these Terms, the Site, or any App will be brought exclusively in the state or federal courts located in Utah, and you consent to the personal jurisdiction of those courts.
12. Changes.
We may update these Terms from time to time. The "Last updated" date above reflects the most recent change. We will provide notice of material changes on this page before they take effect. Your continued use after the effective date of a change constitutes acceptance.
13. Severability and entire agreement.
If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. These Terms, together with any App-specific terms, constitute the entire agreement between you and Manus Labs LLC regarding the Site and Apps and supersede any prior agreement on the same subject.
